Can an overseas company bring a civil claim in Shenzhen?
An overseas company may act as a plaintiff when a Chinese court has subject-matter and territorial jurisdiction and the claimant proves its legal identity and authority. Equal procedural treatment does not remove the need to identify the right defendant, a justiciable claim and a court connection. The filing should begin with the signed contract, the Shenzhen counterparty's current registration, the transaction chronology and the remedy sought.
Civil Procedure Law Article 276 identifies mainland connections for claims against defendants without mainland domicile, including contract signing or performance, property, attachable assets, tort and representative-office connections. A claim against a Shenzhen-domiciled company will also require review of the ordinary defendant-domicile and contract rules in Articles 22 and 24.
Does the contract's dispute clause control the forum?
A dispute clause is the parties' written allocation of litigation or arbitration authority. Before filing, read the original-language clause for the named institution, city, governing law, scope, exclusivity and any pre-dispute steps. A clause selecting arbitration is not interchangeable with a clause selecting a court.
Civil Procedure Law Article 35 permits written selection of specified courts connected with a domestic dispute, while Article 277 addresses written selection of a Chinese court for foreign-related disputes. Which Shenzhen court should receive the case?
The competent court is the court authorised by law and court-level rules for the particular claim. Defendant domicile, contract performance, agreed forum, claim amount, subject matter and any special jurisdiction must be mapped before selecting a district or intermediate court. A Shenzhen mailing address alone may be outdated or belong to a related entity.
Obtain the counterparty's current official registration, unified social credit code, registered address, legal representative and name-change history. How does a foreign claimant prove corporate identity and authority?
Corporate standing is the evidence that the claimant exists and that the person instructing counsel can bind it. The Supreme People's Court Cross-border Online Filing Provisions require foreign enterprises to submit identity documents and proof that the participant acts as representative; the specified notarisation or authentication route is subject to treaty exceptions.
Prepare the registry extract or certificate of incorporation, constitutional or incumbency records where relevant, representative proof, board or authorised-signatory approval, passport or identity documents and a clear chain to the power of attorney. Do not purchase a certification package until the origin country, treaty status and receiving court's current practice are confirmed.
Must the foreign company appoint a Chinese lawyer?
Representation in a Chinese court is governed by Chinese procedural law. Civil Procedure Law Article 274 states that a foreign enterprise needing a lawyer for litigation must appoint a lawyer of the People's Republic of China. Foreign counsel may coordinate and explain foreign law, but should not be described as the Chinese court advocate unless legally qualified for that role.
Article 275 addresses powers of attorney sent from outside China by a party without mainland domicile. The Cross-border Online Filing Provisions also provide an online video-witness route for authorising a PRC lawyer, subject to identity verification and the court's platform process. Which route is available must be checked in the actual case.
What evidence should be filed with the claim?
A filing evidence pack is a numbered chain from contract formation to breach, loss and remedy. Preserve signed contracts and amendments, purchase orders, delivery and acceptance records, invoices, payments, notices, negotiations, system logs and the original electronic containers for email and chat evidence.
The SPC Evidence Provisions identify email, instant messaging and other digital records as electronic data, require Chinese translations for foreign-language evidence and prescribe orderly classification and explanation. Translation is not a substitute for authenticity; counsel should preserve metadata, custodians and the path by which each record was collected.
Can assets be preserved before judgment?
Property preservation is a court measure intended to prevent a judgment from becoming difficult to enforce. Civil Procedure Law Articles 103 and 104 permit preservation during a case and, in urgent circumstances, before litigation or arbitration. Pre-action preservation requires security, and a claimant that obtains it must commence the main proceeding within the statutory period.
Do not file a generic request. Identify the target asset, ownership clue, preservation amount, urgency evidence, proposed security and the court connection. Security format, provider acceptance and local filing materials are factual placeholders requiring confirmation; no preservation result is promised.
What does the overseas company need for service and case management?
Case management is the controlled handling of notices, translations, originals, hearings and deadlines across borders. The claimant should designate a reliable service address and decision-maker, retain original documents, establish a translation protocol and record the time zone and authority for settlement instructions.
Foreign-related civil cases can involve additional document and service steps. Civil Procedure Law Article 287 states that certain ordinary domestic trial-period provisions do not bind foreign-related civil cases, so this candidate gives no generic completion time.
What should the foreign company send for a first review?
A first-review pack is a compact set that permits a forum, claim and recovery assessment. Send the original contract and dispute clause, a one-page chronology, claimant authority documents, defendant registration, an invoice-payment table, indexed evidence and known asset clues.
